it seems he likes u as a friend maybe even more than a friend but he's not ready for the committment or responsibility of the bf position...

Any of many many things
a) he likes you as a friend but aint ready for commitment & is honest
b) he loves or loved someone, & inspite of being attracted to you, he may still be into her or may be scared of deeper water
c) he maybe gay
d) he maybe entangled in other problems, & while he values you, cant manage everything at once
etc etc etc...the list is endless...
the best thing you can do is to talk without hurrying up the conversation - & gently ease out the right answer from him. you could talk about his general attitude to relationships - maybe by 1st telling him yours...you could ask him what would make him take the plunge, & lastly, while assuring him you will remain friends regardless of what happens, ask him point blank - is there a possibility he may be thinking of it but is not sure and so both of you should just wait a bit & have fun being pals ?
its only fair for you to know - and for him to tell :) he will, trust me - if not immediately, maybe a bit later.

He's probably scared of the commitment. Most people are these days, because our society has taught it to us through the media and broadcasting of celebrities horrid social lives. The people above me say he just wants "booty call" or sex, but I don't think so. I think he's just afraid to get hurt, and scared of the commitment. In which case its good that he doesn't want a girlfriend, because if he's not ready, having one isn't gonna help.

Go find someone who wants a girlfriend and likes you too. Trust me you will save yourself a lot of heartache. People don't change.

if he likes you than he would want to be with you....
dont get involved with him if he aint wanting a relationship, remember alot of guys play alot of childish games dont get involved because youll be the one that ends up getting hurt.
