I've never heard of vupoint and therefore wouldn't trust it's quality.
Kodak is a well known quality brand and will probably give you a picture quality better than the vupoint. Megapixels isn't everything, it all depends on the build quality of the lens, digital sensor, in-camera processing, etc.
With a lack of models to refer to I recommend the Kodak by far.

I'd say kodak beause that's a better known brand name. if you wanted to spend a little more, i know the best camera from Olympus for about $180 or maybe even less. It has about 7 megapixels. That is the best digital camera i've ever had.

If you could only choose between the two I'd get Kodak. Never heard of Vupoint.
Most of the kodak easy share now a days use SCHNEIDER-KREUZNACH lenses. These are good, even if they just use for the name.
and for $80? How could you go wrong?

The Kodak one should come with a Printer package option(Depends where you shop).
The Kodak one has more support and is easier to use!

Go for 6.1Mp.
Higher resolution will give better definition.
