Try make it a genuine one from .....www.microsoft.com........
without making ur operating system genuine u won't be able to download any software from microsoft web site.
Another method which i would prefer is that make him format the WIN XP drive and re-install it,and at the time of completion after reboot the operating system asks u to connect to internet asking the IP addresses and all other addresses(It will for 5 IP addresses), enter all the IP addresses and click NEXT then a page apperes for regestering ur operating system.Click for regestering it.And fill out the simple form, hence by that u r registered to Microsoft.
Then u can download any number of softwares.
This way is for free registration.No need to pay any amount.
Even i i do the same.........till now.

No she wont be able to, she will need to buy a copy and there's no point downloading one from a p2p site, there is a chance:
a) of getting a virus with the file
b) Microsoft can now trace illegal copies and can shut down your computer
c) They won't be able to get Windows Updates and their computer will be vulnerable to security attacks.

Not legally. I would NOT recommend her to attempt a download of a CD image from the net. If she has a valid software key, have her borrow the CD from someone else (she will use her own key), or go to a local software store to see if there are any CD's laying around.

If you mean download software from Microsoft then no they now make you test your OS to see if it has a vaild copy of Windows.
If you mean download Microsoft Windows them no you can not download it you will have to buy it.

It depends what cd key she is using. If you are using a corporate cd key, you probably can download without any problems.

Yeah she can... but she will have to pay for it.. Dude.. its better you ask any retailer or buy the cd.. in any shop.. 'cos that's cheaper than downloading...
