In order to gain muscle you need to eat a lot of protein and lift weights. The more muscle you have, the more calories you need though. Fat cannot be turned into muscle. To lose fat you have to do cardiovascular excersize and diet as well.

strength exercises, such as weight lifting not only with your arms but go to a gym and do the leg lifts on the machine or if you can't afford to join a gym, buy some ankle and hand lifts and use your own body for resistance, it's the resistance that builds and strenghthens the muscles. squeeze the butt muscles as you go down doing squats. this will help with the thigh and buttocks muscles. while lifting the hand weights, contract the muscles in your upper arms, don't squeeze the weights in your hand, just flex your wrists to keep from hurting the wrist bones.

Calories arent so important, esp if your body is fatty...
You need carbs for energy, before a work out eat something like a bowl of cereal or some eggs and toast...
You need lots of PROTEIN to build muscles and drink lots of water so you dont dehydrate your body. Eat lots of tuna and eggs and if your body is skinny, eat lots of pasta.
If your body is fatty, than do lots of cardio (ie running or skipping).
