I'd be flattered. You're being respectful and mindful of the fact that she does have a boyfriend.
You might put her on the spot, though, since you're in effect asking her if she's attracted to you, and if she isn't, that could have a negative effect on your friendship. If she does find you attractive, however, your question may cause her to look at you in a new light, which might lead to something.

I would be flatered, but I would also need to know how long she has been dating this guy. I mean if it is for years, then you probably do not have a chance, but if it is only for a few months, great. I would not be mad if you told me that, then again everyone is different

You SHOULD bring it up quickly, and ask in a half-jokingly matter, that way if shethinks you like her, and she doesnt care, you both will be fine. BUT if she doesnt, you can always say, 'lol just kidding'
