You're having problems because either your copy of Windows isn't genuine, is a single licence copy in use on more than one computer simultaneously or you have not validated it at the MS download site when asked to.. try again at the MS download site and see if you get prompted to validate your copy of Windows.
If you still get told that your copy is not genuine when you follow the links through the validation process then it probably isn't.
If you're absolutely certain that it is a genuine copy, contact Microsoft. They are very helpful because there have been some problems with genuine copies being flagged up as illegal copies.
The last resort is to read and carry out the procedures at the following site. You will have to be confident at editing the registry and manually replacing .DLL files.

Assuming you do have a genuine copy of Windows, there won't be a problem if you just call Microsoft. There should be a toll free (freefone) number in most countries you can call and they'll be very happy to help you resolve the problem.
There is an FAQ page regarding the Microsoft Genuine Advantage validation here:
http://www.microsoft.com/genuine/downloads/faq.aspx
If it helps, when looking at the site here's what the following acronyms mean:
COA - Certificate of authenticity. This is the sticker that should (legally) be stuck to the case of your computer which has your Windows product key on it.
WGA - Windows genuine advantage. This is the system that you're having a problem with that reports you don't have a genuine copy of Windows.
There are a couple of questions which are answered which could help you:
Q: What if my copy of Windows or Office fails the validation process or I believe I have received pirated software?
A:
In either case, Microsoft recommends the following actions:
* See your reseller and ask for genuine Microsoft software, using the report provided during the validation session for support. The report explains why your system was unable to validate and provides instructions for further follow-up.
* Visit the Microsoft How to Tell website to learn how to recognize genuine Microsoft software.
* Purchase a genuine copy of Windows from Microsoft on line, or from your local reseller.
Q: What do I do if I fail the validation test, but am certain that I purchased/have a genuine copy?
A:
Contact the reseller that you purchased your PC from. If your reseller is unable to help you, contact your local Microsoft call center. The Microsoft call center agent can help you verify whether the Product Key installed on your PC is genuine. The majority of customers who fail validation purchased their PCs from system builders. The PCs came with a genuine COA, but Windows was installed using an invalid Product Key. For customers who have a legal Product Key from the COA or the backup media that came with the PC, the call center agent can point customers to a Product Key Update tool which customers can use to convert their system to genuine using the legit Product Key they have.
I hope you find something there that helps. It seems like the message is to first contact your reseller who sold you the computer. Next, try Microsoft. Someone should be able to help.

Yes. Big Problem Because your copy of windows is not genuine. Microsoft's computers check your XP code against their systems. If there is no match, there's no download. Where did you get your computer or XP from? XP may have been pirated or copied or used in another computer first. If you believe your copy is genuine, you could call Microsoft,... but they'll want to know what your code is. I had to do it once for a problem with a donated PowerPoint install. They were nice, but had lots of questions. http://support.microsoft.com/common/international.aspx?rdpath=1&gprid=1173
