You will be a blended family, and the other man will be some part of your life, most likely.
If you enter with knowledge, there are no downsides. Do you love her? Does she love you?
Definately get some pre-counseling so you can know what to expect.
I have been married to my wife for 16 years, and she had 2 daughters when we met. We had 5 of our own, that makes 7. Blended takes some effort, but know it going in and it will be ok, if you are willing to be honest with the challenges.
