You should soften the blow by making up a good excuse. You could say something like you feel you are too young to date (I don't know old you are so this might not work), or that you see her more as a friend and don't want to ruin the friendship, or that you are devoting most of your time to school so you can get into a good college and don't want to distract yourself with a girlfriend. Anything so that she doesn't take it so personally.

Well she didnt actually ask you out her friends did. Its no easy way except to be honest dont lead her on and get her hope up. Girls have crushes all the time so I am sure she will have her eyes set on someone else soon. Its better to tell her than hurt her feelings by being dishonest.

Just say you dig her has a friend and don't want to squash your possible good friendship. That you are afraid she will find you to be an *sshole, and don't want her to think bad of you. That she is too cool for you.

No matter what you say man, she will be hurt that you don't want to date her. Good luck. Just make sure you don't avoid her after. That'll hurt her more than actually not wanting to date her. Because (TO HER) it will confirm you defenitly don't dig her. Even if you still dig her as only a friend.

just say "how about we be friends instead, I'm not really interested in a girlfirnd at this point of my life and I want to focus on school at the moment."

that is what I would want to hear if a guy didn't like me as a girlfriend.

Just be nice about it say "She seems like a really cool girl but I don't want to go out with anyone right now."
Or you could be mean and say "I never go out with girls who send their friends to do their business."
Nah.. better go with the first one.

Doesnt matter how close or far she is to you.
Its better to hurt her feelings with the truth than with a lie

Say no. Because if you don't, you'll hurt her more. And be nice about it. She'll understand. Better a friend than a mistake.

Her friend asked you out for her! um... tell her the truth. tell her you dont feel the same but spend more time with her. give her a chance and if nothing happens, then tell her, simple as that.

"I don't feel like being in a serious relationship..."

"I'd love to go out with her, but only as a friend right now. I'm not sure that I want a serious relationship right now."

You can always say that you really like having a friendship with her and you don't want to spoil it by trying to make it more.
