This is my first post, so please bear with me.
I think it's pretty simple. First of all, do you like the guy ? Do you want to be around him ? If so, accept. But if you don't like it, you can always refuse. Always remember, no one's forcing you. It's completely your life and your decision. If he truly likes you, he should respect your decisions.

Would your answer be yes even if he were to propose while you were in a bus or in the toilet? If your answer would be yes, then saying it over the dinner would just be a nicer place.
If the answer was maybe/dont know, then ask for more time. You are not ready to commit yet. Remember - its in health and sickness, till death do us part.

First appreciate that guy's confidence in selecting internally. After that analyse him and ask him why he selected only you to offer a dinner. If he answers you reasonablly and you to believe him that he is the one who can offer you dinner enjoy the dinner and discuss no more things at the dinner.
If his answer is not reasonable just say - iam already engaged.
Work out with confidence.

No one here can answer that. Do you love him? Could you spend the rest of your life with him? Does he make you happy? Does he treat you right? You need to ask yourself, not a bunch of strangers on Yahoo! Answers.
