Get help of a commercial lawyer to ask for being the franchiser in Mexico.You need to be registred in SHCP & SAT , also you need to go to the IMPI and Economic Ministry to follow the commercial rules & norms according to the NAFTA.

It might be easier to set up the Business in Canada.
