I'm a myspace user and he's a djand he says he works with two record labels and wants to do a remix of one my songs. I'm worried about giving him the Logic file because I don't know if I should be giving out this because he might just wants to learn from it.

What sort of thing should I be worried about with copyright and with potential income of course. Please give me all insights.

Sound like he is about to rip you off. Don't do it, thats my advice.

There are 2 ways to handle this :
Either you release your tracks under a "Creative Commons Attribution-Noncommercial-Share Alike 2.5 License" (see http://creativecommons.org/license/ ), which allows him to remix your tracks, so you can become "famous", but he is not allowed to make any money with it.
Either you go commercial and then you need a good lawyer and a good contract to avoid being screwed by the music industry sharks.

have you registered your song at the copyright office? (i;m sure there's a name for that, i just don't know what) i suggest to just find out where you can register the copyright for your song and find out laws about copyright and royalties and them all. rather than posting this on yahoo! answers, you can find better answers if you consult someone who is experienced in the recording industry and deals regularly with copyright laws. i'm sure there is a workable solution.

btw congratulations, if a dj wants to remix your song, it must be pretty darn good!
