Its an extension by the oferor to the oferee to enter into a binding contract. You must have offer, and acceptance (in the old times consideration was necessary as well).

Depends in what context. To me it is the first part of a Contract. One party makes the offer, the other party accepts or makes a Counter offer. At acceptance the contract is made.
