No i do not think you should sleep with your boss.

But when you say your boss,is he your immediate supervisor?a manager in your office or do you work with him directly?
the reason i ask this is if you do not work with him directly but he is on a higher level than you are at work you may need to know what his intentions for you are.
Also is he married?i am totally against adultery for what ever reason or excuse the parties to the adultery give, but i think that as a mature person sleeping with anyone you work with is bound to complicate issues for you in several ways,one of which will be undue pressure from your boss to stay at work late to have sex also note that in any office environment there is a rumour mill so once you sleep with him even if he promises that it will be just between the two of you or that he will promote you or give you a pay rise he would be lying half of your office will know by the next day and you will be termed a slut and some one cheap so u really must be careful now.
Also if you start sleeping with him and decide to stop you could lose your job depending on the kind og organisation you work for.
My advice to you is to refuse properly by this i mean dont just ignore him but actually shout at him and be very firm if necessay and if your boss becomes hostile[am assuming he is a man!]request to be moved to another department or report him to the proper channels for sexual harrassment and at the same time start to look for another job cos i dont forsee you keeping your present job much longer under the present circumstances.

There is no way you can truly help your career by sleeping with the boss. Your fellow employees will know and will dislike you for it. When your boss hires someone he likes better than you he'll drop you and then your career becomes very precarious.

The professional thing to do is say no. Assuming he is the owner and has the power to do so, this could result in his demoting or firing you, but you would have grounds to take him to court if he does and if you didn't take him up.

Document his proposition and get statements from witnesses if there are any.

You must identify your intensions first. Is it money or genuine? Is this going to add unneeded drama, and are you mature enough to make a critcal life decision like that? If it's out of spite, don't do it. If it's real, your boss should not try to disrespect you or your dignity. As long as you have no shame, GO FOR IT!!

NO u shouldn't sleep w/ ur boss!!! thats wat i would mostly say, but in ur case its kind of tricky, i say it depends, here r ur opptions:
1) first ask him if u sleep w/ him will he give u a pay raise.
or
2) say NO and thats the end of it, and u feel better
or
3) say that its sexual harasment and sue him (yes i'm mean!!! muhahaha!!!! ahem...)
so... yea... u should say no to him politly, and say thats hes not tha guy 4 u...cause if u just say no and walk away he might take it wrong and fire u.
