I have registered a company in the UK on the 7th of Sep 2005 and as the business didnt kick off I couldnt function as a business although the company was still kept registered. I know that I have to submit documents to the Companies House, could you tell me what documents and by when I should submit the documents?

Unlesss there are changes to the directors, secretary, registered office etc. you only have two items to deal with each year.

The annual return (form 363) which should be made up to 7th September 2006. This should be filed within 28 days so you should be looking to do this soon. A form would have been sent to you recently but you can always ask for another or register and file online.

You then need to file annual accounts (or form DCA if the company has not traded). Your accounting date would be 30th September unless you registered a different date. Assuming the default, the accounts to 30th September 2006 will need to be filed by 7th July 2007. Future years will be due ten months after the accounts date, ie 30th July.

There are proposals to reduce this ten month period to only seven months so keep checking.

All you have to do is go down town and tell them that the business failed. They will close it out. If you need documents they will tell you what they are.

I deal with CoHo regularly. Telephone them on 0870 33 33 636 , giving them your registration number and company name, and explain the situation. They will give you the best advice and what is outstanding for their records (an annual return for instance).

Here is their website: http://www.companieshouse.gov.uk/
