Compairing it to the retail version.

Other correspondents are correct that there is no difference between OEM and Retail but...
OEM can only be installed on original PC - change the spec or the complete PC and the OS cannot be re-installed.
Retail can be installed on original PC and if you should upgrade/change your PC can be re-installed.

It's the same XP whether it is OEM or Upgrade or the full retail version. There is no difference at all in the OS itself. The coding may be different in the control aspect, but they all have the very same XP. The price varies which implies that the retail full version is giving you more. Not so. However the real issue is whether you can register that version with Microsoft. Make sure before you purchase. It has to come with the Microsoft Certificate. Don't pay a penny for a pirated version. Gates and company regulary snoop the net searching for pirates. They threaten big fines and imprisonment (throw away the key kind of deal).

No difference in the software functionality between OEM and Retail version.

OEM is issued free and Retail version is bought separately.

There are really no significant advantages or disadvantages to either versions, except possibly price.
The manufacturer's version may offer additional support venues including continuous monitoring which can be nice if available.
Microsoft's support is available on either. Security issues is free, tech support is fee based, ( usually less than OEM's ).
Personally, I would go either way!

OEM versions are given to manufacturers of pc's (Dell,compaq etc) so that they can incorporate system drivers and suchlike,otherwise its the same product.

None really, some say pro is better but in all honesty, you'd hardly use the features in the pro version.
