Dang, that chick wrote a book on this, didn't she?! I got 3 letters that will answer your question... AMD! These processors and chipsets are the absolute worst! Not downing your hardware, just stating out of my own pc technician experience. It's why HP had so many problems with their earlier lines of Pavilions. Maybe a format is the best thing for you to do. Forget the upgrades... Try a clean install of XP. And make sure it's a licensed copy. Unlicensed copies have been known to lock up.

Try using another XP Installer and let's see if the lock-up thing you mentioned reoccurs. if so, we can conclude that the problem is hardware in nature.

I am also looking at the possibility that your hard drive may somehow be incorrectly formatted (for NTFS), or has incurred some damage. Or probably too small to run Windows XP.

Make sure that after installing everything, you still have adequate free space for XP to handle swap files (virtual memory).

You must have some incompatable hardware. I'd imagine it has to do with the motherboard...contact ASUS and ask them if the motherboard is compatable with WinXP.

to anyone looking, the answer turned out to be a setting in the bios.
I had PIC enabled, when I needed it to be set to APIC

If I remeber right, pic is for older o/s's that need less irq's than the newer ones.
in fact, Thank you for your answers however, maybe this insight will aid someone else.
