I am on H1b visa valid until next year, BUT I already transferred company without transferring my H1b...

His PERM application just got approved and will soon file the I-140/I-485

Should we get married before he files the I-140?

Am I qualified to be a dependent, since technically I am already out-of-status?

I will greatly appreciate everybody's help and advice!!!!

You cannot ride on anyone else's visa. Once you get married he can petition for you on an I130. Since he will be a legal resident it will take long if he were a us citizen. You do, however, need to return to your country. Dont stay here, otherwise, it will be very difficult for you to come over. Any illegal stay will be held against you.
There is no such thing as a dependant on a visa.
