I live in Missouri and I am thinking of incorporating a business. I want to incorporate in a state that has the best tax and legal advantages.

Delaware is a very good state, however, if you have a lot of capital, you will be assesed on that.

Rather than incorporate, you should consider forming as an LLC, or Limited Liability Corporation. It has all the protection of a corp, but is taxed like a partnership (if more than one non-related member) or a self employed, if jut one owner. If just you, you would also save on tax prep, since you would file on Schedule C.

When I incorporated, I researched all the different state laws. Delaware had the best "courtroom" protection, Nevada and Wyoming had the best privacy protection, and Colorado what the least expensive.

If you incorporate in Nevada, definetely have your registered agent in Lake Tahoe and not Las Vegas. Clark County has some rediculous business licensing fees.

Delaware is by far the friendliest when it comes to corporation protection. Check out the Corporation Company. They have lots of good info.

Another good state is Wyoming. They have he Wyoming Close LLC that is very adventageous tax wise. Check out Teton Agents and they have that info

Ask a tax accountant and/or a tax lawyer. Are you trying to hide assets? Save on taxes? Reduce your liability? Move money to an off-shore account?

Delaware. 99% of all US corporations establish it there. The laws and regulations are far friendlier there than any other state.
