you are talking about Hypothermia - a condition in which the temperature of a body drops below the level required for normal metabolism and/ or bodily function to take place. In warm-blooded animals, core body temperature is maintained at or near a constant level through biologic homeostasis. When the body is exposed to colder temperatures, however, its internal mechanisms may be unable to replenish the heat that is being lost to the body's surroundings. If the body temperature drops below 90 degrees fahrenheit (normal is 98.6) - cellular metabolic processes shut down. Major organs fail. Clinical death occurs.

Yes and it is not necessary for it to be real cold. A person totally immersed in water as warm as 70 degrees F will have their core temperature lowered in 24 hours or so to shut down bodily functions and death to follow. You do not lose heat as rapidly in air so you can survive colder temperatures if you are not wet.

Depends a bit on what is extremely cold....0 F ?

If you have enough clothes on it doesn't have to be a problem. If you don't, even keeping awake in extremely cold temperatures might kill a person.

If your body temperature cooled down enough then you would fall asleep and die!

Well, that would depend entirely on how long you lay there for.
If you went to sleep outside in really cold whether, there's a good chance you wouldn't wake up again if it was a drunken sleep.
It has happened. Actually the police in Japan arrested a drunk guy in winter and took him back to the police station on the back of his small pickup truck. Some genius there decided it would be a good idea to leave him outside on the truck to sleep it off, and when one of them finally went outside to check on him, he was dead.

I think if it was cold enough to give you hypothermia (which could cause you to die) you wouldn't be able to sleep. I mean, it would seem that way to me...
