The first one. The whiskers are nicer and the fade looks cleaner. The general curviture of it is better also. Go with the first one, it is awesome.

None. It depends on how it looks on you. Flared jeans aren't as fashionable these days. The skinny skimpy jeans are. But to each his own. What's important is how it would look on you. If you really think it would look good on you, get the darker one. I always do that because after several washes, it will end up looking like the lighter one anyway.
