The best way to propose to a girl is to first read her, does she appreciate your presence? Does she give hints that she likes you? Does she agree to you when you ask her out? If she does all these then take her to congenial atmosphere and directly propose to her, dont forget to carry a big cadburry bar and a rose alongwith you it would come handy. She might not say yes to it to begin with but dont get disheartened, persists with it unless she was realy upset when you proposed.

If your talking about marriage do it in some way unique to what is common between you. What you want is something that's memorable. If your both handgliding fans do it during a handglide, DON"T pop the question just as she's running off the cliff though LOL.
If you mean to break the ice with a girl. Find something in common and start talking. If there's chemistry it'll be apparent soon enough.

Its simple..
just say how you feel.. Be sincere to what you really have to say and look her into the eyes...
its not really important for the environment when you propose, it's the feeling and the sincerity which is more important.
But for me, a beach proposal would be nice and sweet...
