If you're asking in this forum .... you probably are not ready and should therefore not agree to anything.
Arm yourself with safe sex trinkets and information, and only consider a yes answer when you have the emotional stability to deal with the physical act.

Unless you prepare with a condom and birth control, don't. But more importantly, don't have sex with him just because he wants to. If he's the kind of guy who'd leave you because you didn't sleep with him when he wanted you to, then he's not the kind of guy you want to have sex with. Let him wait if you're not emotionally ready for sex, and DON'T let him convince you otherwise. Its your body, not his, so its you're say. Good luck, be safe, and have fun.
