Freeware is copyrighted computer software which is made available for use free of charge, for an unlimited time, as opposed to shareware where the user is required to pay (e.g. after some trial period).

Shareware is a marketing method for commercial software, whereby a trial version is distributed in advance and without payment, as is common for proprietary software. Shareware software is typically obtained free of charge, either by downloading from the Internet or on magazine cover-disks. A user tries out the program, and thus shareware has also been known as "try before you buy", demoware, trialware and by many other names. A shareware program is accompanied by a request for payment, and the software's distribution license often requires such a payment. Payment is often required once a set period of time has elapsed after installation.

Stricly speaking, both are copyrighted software, but the distribution model is different. In other words, you can not modify the software and it is not yours.
With freeware you can use a copy free of any charge. With shareware the developer is counting on the honor system for the user to provide a contribution when he/she decides to use their software.
With freeware the author does not expect to receive any compensation for their work, but with shareware the author does expect this. Whether or not certain features are disabled or not included at all is incidental, from the point of view whether something is freeware or shareware. Shareware is only free for you to try the software. After a certain period of time you are supposed to buy a licensed copy. With Freeware, the software is free for life and you are never expected to pay anything for it.

Shareware has a deadline date and its stops working or you must pay in order to use it longer. Freeware is absolutly free and no dates attatched for the amount of time the user has it. Some even come with an upgrade extention.
