Ubuntu will automatically shrink your Windows partition and create a new Ubuntu partition out of the free space.

I assume Windows XP is already installed. A portion of hard drive is unformatted.

If the "portion" is not already available, this is trickier since it involves resizing possibly relocating the content of already installed Windows to a safer location, in any case, backing up your data is always a prudent move. Defragment the drive after that.

Put in CD, make sure a CD is set to be bootable, Ubuntu CD will automatically run a routine before install to verify the disc is not faulty.

Choose the modify the install hard drive manually, if Windows is occupying the entire disk select that drive and resize, so it leaves at least 2 GB free space + twice the size of your RAM. Select that free space and format it, anything not NTFS is fine; select the partition label "/" to install it there.

There are not many and at least no more potentially disaster moves after the above. Ubuntu has no clusterring install options.

I have Ubuntu on 2 pcs. Both are dual boot w/ one also having WinME and the other WinXP. You must start with Windoz already installed and working. Then with the Ubuntu's CD you may install Ubuntu.

It is all quit simple and straight forward. But I advise you to do some research on the Ubuntu site. They have complete instructions.

Get "Partition Magic" or some sort of virtualization software. I think the virtualization software might actually be useful. You can also go to TriLUG (http://www.trilug.org/) and get some help.
