1)boot with xp cd
2)at first prompt choose "recovery Console"
3)choose "1" for which os you want to login to
4)Type "c:\windows\repair
5)type "dir"
6) see files "system", "software", "sam", "default", etc
7) Start with typing "copy system c:\windows\system32\config"
8)choose "yes" to overwrite
9)reboot
if it still will not boot, repeat steps 1-5, then type
"copy software c:\windows\system32\config"
reboot
keep doing this until it boots, example on third time type
"copy sam c:\windows\system32\config"
notice that each time I copy a different file?
but before any of this, you can try pressing F8 and instead of safe mode, choose "last good configuration"

Try a repair installation of XP - you boot from the original install CD to access this option and it will scan the system and attempt to replace any files that are missing or unreadable.

u cant fix this problem .u have to reinstall the xp or u have to repair windows by putting the xp CD.
