Well, it is because the liquid is very very cold, as you drink it it goes over your tounge which carries an extremly large amout of blood for its size, this blood goes from 98.6 (average body temp) to as cold as what your drinking, on its way to your brain in the cycle of circulation, once it hits your head it basically freezes the blood vessels in your brain causing you to feel the "brain freeze", and it will also affect your throat and chest as you swallow it in large amounts.

Drinking a freezing drink constrains the blood vessels going to the sinuses. Almost like having a storoke.

When anything cold hits the roof of your mouth, it sends a signal to your brain. Your brain thinks you are freezing to death, so, it sends a bunch of blood through your body to warm you up. That makes your head "spin".

When cold stuff (like popsicles, ice cream or slushies) touches the roof of your mouth it can set off a nerve reaction (in the spheno-palantine ganglion, to be precise), that causes the blood vessels in your brain to swell. When the blood vessels swell, you get a headache.

The palate of your mouth is in two parts - the bony hard palate (front) and the soft palate that lacks bone (back). "Brain freeze" is the pain you get when the soft palate gets too cold. The brain itself has no ability to feel pain.

it happens because the roof of your mouth gets really cold. to get rid of it, press your tongue to the roof of your mouth and it will warm up fairly quick.
