Some of the boards are water damaged or rotten in spots and two have broken thru. I want to lay 3/4 ply in the entire room over the existing subfloor and then add concrete board over the ply. The floor beams are fine. Floor height isn't a problem. Can I do this or should the old boards be removed?

At a minimum, I would remove the broken and rotten boards, and shim the areas with strips of plywood, and then lay your plywood subfloor down. You may get a more level floor if you took out the 1x4 subfloor and put the new plywd directly on the beams. The plywood, cement board floor is going to be a very nice system.

My husband and I finished a home a couple months ago with similar damage. It is best to replace the subfloor if there are rotten spots/break througs. Good luck.

I believe it is much safer really to ask for an opinion of an expert with a license at this point specially if it involves water system and some heavy stuff you intend to lay over. I am a home inspector and even if I see that, I will still recommend that you consult a licensed contractor.

Since you're already down to the sub-floor, you might at well take out the old floor. You don't want any existing moisture next to your new board, to begin with.

for a sound/stable base, I would remove all of them.
