I don't know about "Upgrade". You can reformat your HDD and install XP if you have the OS disk.

Linux is to XP what a Mustang is to a Corvette.
You replace you do not upgrade except within the same OS to a new version
You must wipe and install. You can install linux onto an XP system this would make your system a dual boot.

It wouldn't be an "upgrade" it would be an "install". Windows will happily format and use the whole drive if you tell it to when you install. Just make sure you have backups of any files you want to keep.
