I'm planning to buy one of these models from either Canon or Nikon.
I intend to view the images on computer and not interested in printouts. I'm using a Sony H1 now. Which model is a better upgrade ?

The Nikon D70s beats the Canon 350D in terms of features, build quality, and ergonomics. The Canon is better in terms of low light performance (usable results up to ISO 3200 vs. 1200) and it has 8MP vs. 6MP. Both cost $700.
The Nikon D80 has the same build quality & ergonomics as the D70s, a few more features and 10MP. Again though, the Canon wins at high ISO. The D80 should cost $1000.
For you, the megapixels obviously aren't a concern. In fact, if you're not interested in prints, anything over 2 megapixels is overkill - with a screen resolution of 1600x1200, that's all you'll ever see. And with that out of the equation, the D80 isn't worth $300 more than the D70s.
So get the D70s for the better all-around camera, or the 350D if low light photography is your main work.
The 18-70mm that comes as a kit with the D70s is a very decent lens.

How much do you want to spend on a lens? DEFINITELY get a better lens than the "kit" lens. As a minimum, with the Nikon, get their Nikkor AF-S 18-70 f/3.5-4.5G ED DX lens. They also have a new VR lens mated with the D80 in a kit (so there goes THAT recommedation) that's something like a 28-130 that looks like it should be a good choice.

I don't know the Canon line, so I can't comment. Either one is and excellent choice. Buy one that a friend has so they can help you out.
