You should be able to simply load the disk in the CD drive. When the disk starts, pick the upgrade option.
This will work only as long as you have a valid, unused software key.
Without a valid key, the upgrade will not install.
Starting with Windows XP, Microsoft requires you to register each copy of their software. If the software key is already used, you can not easily register it. You would need to call Microsoft and manually register it. You would need to convince the person from Microsoft that the old PC that the key was registered to no longer exists. If you fail to register the software, after 60 days, the software will cease to function. In the case of Windows XP, which is the operating system, the only option you will have is to do a clean install of your old operating system.
If you upgraded the hard drive file format to NTFS, you will need to delete the partition and reformat, losing all data. Ouch!
So if you don't have a valid unused software key, don't even try.

it all depends on how you want your installation. i personally use windows vista professional its a beta. but i recomend windows xp pro for the stability. but back to the point if you want to upgrade the operating system just pop that disc inside the cd rom and click on the install button once you get the windows pop up from the cd. it will restart and run from the bios. if not what you can do is restart the computer with the cd in there and do a fresh system install which will erase your hard drvice completely and give you a fresh copy of windows xp. have fun and enjoy windows xp

The best thing to do is to back up any files/data you want to keep. You can put them on an external hard drive or on CD-R or CD-RW discs (if you have a cd burner). Then, boot with the Windows XP disc in the cd drive and choose to do a clean installation. This means reformatting your hard drive and starting over from scratch. The installation program will walk you through all of the necessary steps.
