Lack of darts...and I see others who have answered with other differences, too--e.g. armhole size and button positioning.
A dart is a seam through a triangular fold in cloth that is meant to accomodate a curve which that cloth will cover.
Men's pants sometimes have darts in the back, from the belt to mid-seat, but their shirts, unlike women's generally do not.
Sometimes, instead of darts, a women's shirt will have what is called a princess seam, 2 curved seams down the front of the shirt or dress.
Of course, all of this applies only to FITTED men's and women's shirts. Girls and boys swap one another's loose fitting tops all the time, and no one needs to be the wiser.

A guy shirt doesn't have extra space for breasts. The arm openings aren't as tight and neither is the area around the ribcage. That's why mens shirts look so so so baggy on woman and make their breasts huge...

fit maybe?
a guy and girl tend to have different upper bodies so a girls shirt will probably be more fitted than a guys shirt
