simply tell him "I am flattered but I don't have those kind of feelings for you." That you just consider him a friend.

This is a tough situation for a lot of girls, as girls are sometimes raised to be the nurturers of society, and not taught to be assertive with their own needs. The best thing you can do for the boy and your self is the most difficult (in the short term anyway). You have to tell him that you are flattered by the attention, but you are not interested in going out with him. If you are truly not interested in going out with him, make sure he knows that you will not be interested in going out with him in the future either. You do not want to give false hope. Sometimes girls think it is kinder to lead a boy on instead of coming right out to say they are not interested, but this is more cruel to the boy and creates a lot of stress for you in the long run. Good luck to you, this is not an easy situation. Just be true to you, true and kind to the boy, and you will both be OK.

You don't have to feel obligated to say yes, but keep in mind that that boy is probably incredibly nervous and may pee his pants.

What you do is you act composed and polite. Smile & say you are flattered, but that you are going to have to deny him for whatever reason. "I'm sorry, thank you, but I'm not looking to go out with anyone right now" or "I'm sorry, I'm flattered, but I'm concentrating on some other things right now that will keep me from being able to see anyone." You are also at liberty to not tell him why, he should be fine with respecting that. In any case, you will have impressed him and yourself for not making a negative scene out of it.

Do not laugh at him, do not make fun of him, spread rumors, or belittle him. It could come back to you in the future and you wouldn't need someone to say "I told you so" because you'll personally rue doing it to someone else in the first place. :)

tell him honestly how it is, dont lead him on because thats worse than being a ***** and turning him down harshly...
Say something like "yah, Id like to go out with you as friends, but thats really all I see between us.." (either add for now, or just leave it at that.) Honest and simple is always the best policy

Just let him down easy and tell him you don't really see him like that. Unless you want to crush him, then you say, "Go out? You mean, with you? Hell no!" JKJK, be nice!
