Heat Death refers to the supposed inevitable distribution of thermal energy throughout the universe (assuming no multiverses). So all chemical, electrical, mechanical (etc) energy will have been converted to thermal energy (commonly known as heat). But, since matter and energy are interchangeable under certain circumstances, does that mean all matter will have to undergo conversion to heat?

Not as I understand it. But with energy reduced to the lowest wavelength (low level thermal) and evenly distributed throughout the universe, there will be nothing that can effect any more changes throughout the universe. I sometimes look at fireworks displays, and wonder if there is another race, billions of times more long-lived than ours, that is currently watching everything that has happened to us since the big bang and going "Oooooh!", and afterward they will go home while our particles are cold and dark, flying forever outward into space.
