Why would it be a bad idea? Only if it's an "au-naturale" and you're underage would it be a bad idea.

Well, unless your goal is to draw something inappropriate for a teacher/student relationship, it's a great idea.
Whether you ever give the portrait to her, or even show her your work, there is no problem with you drawing a portrait of someone.
On the other hand, if you are doing this with the goal of getting close to your teacher, perhaps to move the relationship to one that is a bit closer, then you might want to wait until you are no longer her student so that there are no ethical issues.

It depends on the reason. If you're doing it to be nice, and you'd do the same thing for a male teacher, then you're ok. If you're doing it because you like the teacher, that's a very bad idea.
