There are many differences in their respective church "culture" but both are Christian churches who accept the Holy Trinity. I have visited both Catholic and Pentecost Churches.
Difference in organization:
The Catholic Church has a strict hierarchy with the Pope in Rome as their leader. Pentecostal churches are usually independent, there is no leader or leaders.
Differences in believes:
The Catholic Church has strict rules and membership requires lots of study of doctrine. Pentecost Churches put more emphasize on "feeling" and the personal relationship with God.
The Catholic Church is very old and has many rituals and their church buildings are often like museums. Pentecost churches are quite plain, they claim to focus on God himself and have stripped their churches off all "decorations" which they consider unnecessary or even "dangerous" because it could distracts from the essence of faith itself.
Other similitarities: Both churches and their members are usually against abortion and do not accept homosexuality as proper.

Almost all important doctrine is completely agreed upon between Catholic Christians and other Christians.
Here is the joint declaration of justification by Catholics (1999), Lutherans (1999), and Methodists (2006):
By grace alone, in faith in Christ's saving work and not because of any merit on our part, we are accepted by God and receive the Holy Spirit, who renews our hearts while equipping us and calling us to good works.
There are some minor doctrine issues and some major cultural traditional differences which, I believe, do not matter that much.
A Catholic worships and follows Christ in the tradition of Catholicism which, among other things, recognizes that Christ made Peter the leader of His new Church and Pope Benedict XVI is Peter's direct successor.

Catholics believe that they have to go to their priest for their spiritual acceptance & guideance.
Pentecostals believe that you go to the Heavenly Father & His Word before you go to the pastor. Instead of confessing our sins to the priest we are to confess them one to another so that our brother or sister in Christ may be holding us up in prayer & help keep us accountable.
