In my opinion, you don't. I would much rather spend time being with her, talking to her, doing things with her...and, well...
See, the point is this: If you do all these things, you're pretty much being a boyfriend. It's like marriage: Yes, it's a special day, but afterwards, you will continue being the same people you were the day before.
Your only reason to ask her to be your girlfriend would be for 1. exclusivity, in which case you would hold some control over her, even if only a little, and 2. permission to be physical.
So reevaluate if you're interested in her for only physical gains as opposed to a whole-hearted mindful relationship.

it depends on how close you are to her already, if your already close then take her somwhere quiet (but in public or she might get a bit nervy) and just tell her that she's allways on your mind. ask her how she feels about you and then if she feels the same then just ask her.
