There are many softwares out there that can handle this, but I haven't found anything that is free yet. Anyway, you can try Audio to MIDI Converter which can be downloaded (trial) here: http://www.mp3towav.org/TS-AudioToMIDI/ This is not a freeware, but I think you can use the demo and decide to buy it later ;) Enjoy.

You can try Xilisoft Audio Converter which can be downloaded for free at www.freedownloadcenter.com or try many other audio converters available in www.download.com
