Whenever I'm in that situation, I offer that person a mint, or a piece of gum. If they refuse, I say, "I think you should take one anyway." I then give them a look that says, "trust me on this," and they usually oblidge!

Ask them if they knew that the best way to tell if your breath stinks is to lick the back of your hand, wait a few seconds and then smell it. Tell them that's what other people can smell. Most people will be curious enough to do it just to see if it works. It does.

You need to be honest and tactful. Maybe say something like "Are you aware that your breath is not very fresh?". Then maybe offer them a mint or gum. There are some health conditions which can cause bad breath so they may be used to having bad breath.

hand them a bottle of crest pro health rinse and say "Hey,you have got to try this it's great! I've been using it for a few weeks now and i can really tell a difference in the way my mouth feels....... I know it sounds commercial but i've used it myself and it really is great!!

tell them your body sends out messages when its in trouble,
and that halitosis is an indication of a more serious condition

tell them that you used to have the same problem and nobody wanted to tell you, then you discovered this mouthwash/mint or whatever.
