Iceland (the British got there first), Faroe Islands (now an autonomous part of Denmark, again, occupied by the British), Republic of Ireland, United Kingdom, Portugual, Spain (both were Fascist dictatorships), Sweden, Switzerland, Lichstenstein, San Marino (both these little states were neutral according to Google),Turkey, Malta, Cyprus (Malta and Cyprus were both British colonies), Vatican City.
I have recently been reading about Monaco. This was officially neutral throughout. Italian troops marched in in 1940, but Mussolini said he had not declared war to capture Monte Carlo and pulled them out. However, German troops used Monaco extensively for recreation, i.e. gambling in the casino, and leading Nazis set up companies to smuggle their looted goods. Monaco was far more useful to the Nazis neutral than occupied. I think that a few German troops prepared to blow up the port at Monte Carlo in 1944; but did not in the event do so. Similarly, Andorra was, I see from Google, neutral throughout but a small number of German troops were positioned there, against the protests of its Spanish co-ruler, between 1943 and 1945. It would not surprise me if Germans sometimes got into San Marino after 1943, although San Marino was again officially neutral throughout.
Nobody dared invade Vatican City! This is a whole story in itself as Allied escapees went through the Vatican during the War, as did Nazis escaping to South America afterwards.
P.S. You are getting a fair amount of inaccurate stuff. E.g. (1) Luxembourg was overrun by the Germans in hours on the morning of 10th. May 1940 when they invaded the Netherlands, France and Belgium. (2) The Soviet Union declared war on Finland when the Germans invaded Russia in 1941, despite protestations of neutrality by the Finns. (The Soviet Union had previously been at war with Finland in 1939 - 1940).The Finns theninvited in the Germans as allies. Subsequently, in 1944, the Finns surrendered, but the German forces remained until the Russians pushed them out, so hence they were in occupation. (3) Similarly the East European countries that were at first allied to Germany, including Hungary, Bulgaria and Rumania, wre occupied by Germany when they tried to get out of the War in 1944 (in Hungary with tragic results for the Jews, whom the Hungarians had refused to send to the concentration camps).

It depends on what you mean by occupy. A number of countries were not technically occupied, but were allied to the Nazis (the "Axis" powers) - includes Italy, Romania, Bulgaria, Slovakia.
Countries that were not occupied and/or were not part of the Axis:
Britain (apart from the Channel Islands)
Republic of Ireland (neutral)
Switzerland (neutral)
Spain
Portugal
Sweden (neutral)
Finland (I think)
Russia (strictly speaking the USSR) was partially occupied, contrary to many of the answers in here. Not all of Russia by far, but most of the "European" part. The Nazis never managed to progress further than a line linking Leningrad, Moscow and Stalingrad, and lost millions (more than the rest of the allies put together) in winning back the territory between 1943 and 1945.

GRPR1964 had it right except for Finland. Finland was effectively forced into being an ally of Germany when they were invaded by the USSR. And you could say that Italy was occupied after the fascist government was overthrown and the country joined the allies.
And how about Poland being occupied by the USSR when they, as virtual allies of Germany, invaded from the east and split the country with Germany. But then they lost it all when Hitler broke the agreement by invading the USSR - ah, the fickle hand of politics...

Well, contrary to one of the other answerers, Russia *was* (partially) occupied. The UK was the only country they tried and failed to invade. The neutral countries also got away with it and, in fact, did quite well out of their neutrality.
Places like Spain and Italy had puppet regimes supported by the nazis but weren't formally occupied.
