When you upload you put something out on the net (like a pic) when you download you take something "down" off the net.

The direction of the "loading." Loading up takes your information on your computer and puts it somewhere else, like a web site or to an email.

Loading down pulls information from somewhere else and puts it on your computer, like downloading a photo from the internet, or downloading music.

When you are uploading a picture foe example you take a copy from your computer and then put it onto wherever you are trying to upload it to.
When downloading you take something and put it onto your computer, an example would be MSN messenger, you have to download MSN messenger from there website onto your computer.

When you are uploading you are putting stuff from your computer onto another computer. When you're downloading you're taking stuff from another computer and putting it onto yours.

upload is when you put something to the web (any files)
and
download is when you get something from the web
