All these answers are great, something else to check are your "My Documents" folder, if you have a lot of MP3s in there (check My Music), that will slow down the shutdown/startup time of your PC. Also clear your temporary internet files folder out too (the setting is under TOOLS > OPTIONS in Internet Explorer. this may also add to the delay in shutdown time.

I notice if i'm on the internet a long time
mine slows down
if not on internet shuts down quickly
so my guess something to do with internet setting
and antivirus updates
does it after a full system defrag aswell
proberly checking were it has put everything so it can fetch the files quicker on boot up (takes longer to retrieve compressed files)

A good startup manager like Startup Inspector or Autoruns will help you keep these in check. Be careful not to disable essential services!
If you want to tweak the registry, create a system restore point and try the following;
1.Automatically kill tasks on shutdown.
Windows XP by default will ask you if you wish to end a process if an application is running during the shutdown process. This little registry change will tell Windows to automatically end the process without your confirmation.
Go to the Start menu and then select Run. In the Run box type in ‘regedit’ and click on OK. Navigate to 'HKEY_CURRENT_USERControl PanelDesktop' and double click on the 'AutoEndTasks'. Change the value to 1 and click on OK.
2. Reduce the wait time to kill open applications.
When you choose to shutdown your computer, Windows will automatically wait a little bit before it kills applications that are open. Here we will show you how to reduce the wait time.
Go to the Start menu and then select Run. In the Run box type in ‘regedit’ and click on OK. Navigate to 'HKEY_CURRENT_USERControl PanelDesktop' and double click on the 'WaitToKillAppTimeout'. when your pc is turned on try goning into msconfig and shutting down all in the startup.ini to get there,,, start, run, type msconfig, click ok,,, this will stop any unnecessary files or programmes opening or starting on boot up therefore not having to save them on shut down...

Even i faced similar problem, oneday when i checked my recycle bin, there are plenty of files, when emptied it, the problem was solved. so try empy the recycle bin.
