Invoice price is what the dealer says they paid the manufacturer. In reality, they paid less than that because the invoice price is only for the vehicle and does not include incentives, rebates, etc. that are given to the dealership before, during and after the sale of the vehicle.
MSRP (manufacturers suggested retail price) is simply what it says. this is what the manufacturer thinks is fair market value. Of course the manufacturer can't possibly know what is fair in all areas. For example, Lexus (Toyota) can't think that X amount is fair for a GS300 in rural Kansas. There's just not a big demand for them in the wheatfields (no offense, Kansas). It is just a baseline for sales and nothing more. If a salesman says that this is the price of the vehicle then you need to be running out the door, however, supply and demand dictate this rule as well. If the demand for a particular vehicle is high then the dealerships may stick to their guns and not budge off the "sticker price".

I'm not and expert but MSRP manufacture Retail price can be anything the dealer finds a market for. This price can change per geographical area. For instance if you live in Texas and a Chevy cobalt goes for 14,000 and in California it might go for 15,200 the invoice is what the dealer pays for the car plus what it takes to assure the car is ready for sale. This is called dealer prep!

Invoice price: What the dealer actually paid for the vehicle.
MSRP: Manufacturer's Suggested Retail Price, a.k.a. window sticker.
Manufacturers Incentives must be disclosed to you, and in fact, when you are in the financing office he/she asks you to sign a form that they advised you of this.
Anywho, get a Consumer's Report report for the vehicle that you are interest in, and they will either send it or fax you all the info. about this car icl. absolute bottom line that the dealer paid for it, and all available incentives, discounts, matching etc available. **Never bargain DOWN from "sticker" but UP from "invoice."
