There are countless reasons why this might be happening. Here are a couple of sites to get you started on your troubleshooting:

While there are many reasons for a PC to hang on shut down, and they vary according that version of Windows (XP, 2000, 98, ME, etc.), the thing I have found that works most often for all is to defrag the hard drive.

Open My Computer and right-click on the icon or listing for your Local Drive (C:)
Select Properties
(Check the amount of free space you have on your hard drive - look at the pie chart in the middle. If it is less than 10% of the drive, that can cause hang ups and other problems)
Click on the Tools tab
Click the Defragment Now button. (FYI: If you PC is bad fragmented, it can take several hours for the defrag to complete.)

If that does not help, please repost with your version of Windows

This could be the case of a known bug in XP which had a fix included in SP2. Do you have SP2?

If you do, then check here for some troubleshooting tips.

Windows Networking.com
(Scroll down to "Extremely Slow Shutdown")

If you don't find a resolution there, then next try here for tips on what you can do to shorten shutdown time:

Edit:

I just reread your post and now I'm wondering if your saying that your computer "freezes" at shutdown, rather than shuttting down slowly.

If that's the case then here's help from Microsoft.

"Windows stops responding during Windows XP shut down":

Edit:

I have to dash, but I found this on Microsoft's site:

Maybe there are many programs that starts with operating system boot.
Run start menu, run, msconfig, OK, and then check if you need all the programs in the list at the right side of the screen to boot up with system.

Best regards from Belgrade!
