If you want to convert (rip) audio files from a cd to mp3, you can use Windows media player 10.0. By default WMP 10.0 rips cd tracks to its own file format wma, so if you want to rip to mp3, go to Tools>Options>Rip Music>rip settings and select mp3. Click apply, then OK. There is a slider to select the bitrate - 128kbps is fine.
Or for greater control you can use one of these free applications
CDex - http://www.filehippo.com/download_cdex/?403
Audiograbber - http://www.filehippo.com/download_audiograbber/
Deepripper - http://www.deepburner.com/?r=products&pr=deepripper&prr=screens2
If you rip a cd while connected to the internet, you can download track information automatically from online databases.

To convert between files, use something like dbPoweramp
- http://www.snapfiles.com/reviews/dBpowerAMP_Music_Converter/dbpoweramp.html
actually this is an all-in-one tool as it will rip tracks from cd as well, and though it isn't freeware, it is cheap and simple to use - just click on a music file and select "convert to".

Depends if you ripping them straight off a CD. Windows Media Player (version 10 onwards) will rip directly as MP3. If files already on hard drive then I use Imtoo MP3 converter, will convert any type of file into MP3's and vice versa.
