According to this viewing distance calculator (I rounded the numbers):
http://www.myhometheater.homestead.com/viewingdistancecalculator.html
32 inch 4:3 aspect ratio (regular TV): 3 to 11 feet
32 inch 16:9 aspect ratio (widescreen): 3 to 12 feet
40 inch 4:3 aspect ratio (regular TV): 4 to 14 feet
40 inch 16:9 aspect ratio (widescreen): 4 to 15 feet

For a home theater experience, the recommendation is that the width of the screen produce a 30 deg angle from your eyes. So the answer will depend on whether you have a widescreen (16:9) set or not. The 30 deg recommendation is for widescreen pictures.
32" --> 4ft
40" --> 5ft

Chances are that you probably have a 27 inch set now, right? If so then you would probably be ok just putting it where that one is now. That worked for me.
