There's no way to do it without anyone getting offended. Talk to your parents first, and drop subtle hints to the girl about the annoying things she does. Good luck.

It could be in the way you phrase things. Instead of saying, "You're annoying," you could say, "It makes me uncomfortable when you [whatever it is she does]," or, "I have a very high sensitivity to [whatever it is she's doing] and it makes me feel stressful; would you mind toning it down when I'm around you?"
You could point out any positive attributes she has to temper the blow, since people generally get weird and defensive when you ask them to change their behavior. So it could go something like this: "You know, [her name], you are really friendly and I like your smile. I think you'd make even more friends, though, if you stopped [doing whatever it is she does that bugs you]. What do you think?"
It's all about your own grace, and preserving her dignity. Also, it could take some time. She may never change, but I think you have a better chance of encouraging her to change by being gentle and kind yourself--instead of ham-fistedly blurting out that she is a pain in the ***.

I have a friend the same way and I just told her. that's all. i laugh it off and tell her i love her anyway, but i didn't make a big production out of it, or a big serious talk, i just mentioned it. she was fine with it and told me some annoying things about me too...we are still friends today

Ask her if she tries to be annoying or is she unaware of how she comes across sometimes. This way you can express your feelings and give her an out at the same time.

tell your parents first that you find this girl annoying and explain why. you cant just go and tell your friend that you find her annoying! maybe tell her next time she does something you dont like, say so
