Retail means it gets shipped in a box with nice packaging, oem means Original equipment manufacturer but in this case i think Oem means that the processor is trayed, i.e. there is no packaging material, heatsink or fan. The heatsink and fan will have to be purchased separately if it's trayed. You most likely will also need to purchase a prebuilt system to get the slightly cheaper Oem one.

The 940 Presler is newer that is correct. It is however produced under the new 65nm process while the 840 smithfiled was still 90nm. So the difference in price is most likely due to lower manufacturing cost, or higher output volumes (or both).

There are also some other differences between the 840 and the 940. The 940 has close to 376 million transistors and the 840 only has close to 230 million. the core of the 940 is 74 mm² larger, and has 2 MB more L2 cache than the 840.

The 940 come with a newly revised version of Enhanced Intel SpeedStep Technology(EIST) which will give some power saving advantages. Also the 940 comes with Intel Virtualization technology( don't know what it means).

On the performance side the 940 is marginally better so go with the 940 and if it's trayed pray they handle it with care..

I'm thinking the 840 Pentium D was discontinued cause I can't seem to find them anywhere right now. Usually when they discontinue a item, they tend to go for more. Or maybe you were looking at an OEM 940 and a 840 retail. Just 2 guesses. I'm really not sure why they are doing that. Good thing I am an AMD person.
