LISTEN TO ME. HERE IS HOW IT WORKS, OK?
SOME OF YOUR WINDOWS SYSTEM FILES MAY BE MISSING OR CORRUPT. TO FIX THIS, DO THE FOLLOWING:
If you have your XP installation CD, put in in the drive and if it 'auto-runs', just Exit the window that appears.
Then click START - RUN - and type sfc /scannow and hit OK.
What happens is this: If any system files needed by Windows to function properly have been corrupted or are missing - this method will overwrite/replace them. (if you have no CD, borrow one from a friend as it will still work).
When done, locate your C: drive in Windows Explorer (start - run and type EXPLORER) and the Windows Explorer window will open. In the left panel, click the + sign to the left of My Computer and you will see the 'Local Disk C: drive.
Right click on C: drive and select 'properties'. Select the Tools tab at the top and in the first section (Error Checking) click Check Now button.
Next put a tick in both the boxes in the small dialog box which appears. Then Start. A msgbox will appear - choose YES. Restart PC and go to bed - it may take an hour or so depending on the size of your hard-drive.
Windows will start automatically when the error checking is done.
Open Internet Explorer - goto TOOLS - INTERNET OPTIONS... and from there delete COOKIES, FILES and CLEAR HISTORY. Also, set History to keep for 1 day.
Run a Spyware remover program such as Spyware Doctor or Adaware - free download from here:
http://www.download.com and follow your nose through the website to find, or simply search Google for them.
Install the Spyware and run - ok, that's it!
I guarantee this will do the job - let me know if it does not and I will give up my IT job and become a road-sweeper!

if u hav tried every other way
close down all your programs and hold down the power button until it swithches off
(u may encounter some alteration in program performance so do it at your own risk, but i'v done it pleanty of times and it been fine)
but watever u do DON'T unplug it from the wall socket because u get excess static electricity which damages your proccesor and CPU

Maybe ur user profile is not unloading - download uphclean from microsoft as its a known bug wiht xp - it might work, but there are many reasons why xp wont shut down (assume u have xp).
Microsoft do a whole load of fixes for this problem so go here first and work thorugh it all:

Your task bar should come up. End task on any running programmes.
