it means that he wants to be ur friend and maybe something more in the future ,if there isn't any relation ship between both of u . but if u were in love so he means he doesn't love u any more but doesn't want to hurt ur feelings

That would depend. If you just met him, it means he just wants to be your friend. If you've known him for a long time and you've been dating, he wants out without losing all the time he's got invested in you.

He is possibly not into you, or just wants to cool it a while. He wants to know more about you before proceeding farther. Perhaps he just had a bad experience and is gun shy. Some take longer to warm than others. He could be shy.

It depends on what that is an answer for. If that's an answer for "Let's date" it means you're screwed, sorry. :-)
But if you've been nagging him, "Let's be friends" could be a request of a truce.

it depends on how you know him, if he was your friend or acquaintance, and you developed feelings for him, and you ask him out and he says that, he wants to be your friend, and doesn't have the same feelings that you do about dating.
if he is your boyfriend, and he says that to you, that's him taking an easy way out in order to break up with you.
