"That is how I will say it" is fine. "That is what I will say" is also correct (without the "it"), but it means something different.
English, unlike some other languages has verbs that absolutely require a direct object after the verb. "Say" is one of them. So, in your first example above, you need the "it" to make it grammatical. In the second one, however, the "what" serves as the direct object of "say" (in addition to functioning as the relative pronoun), so you can't put the word "it" in.
